We refer to the announcements dated 27 February 2014 and 27 March 2014 in relation to the Proposals. On behalf of the Board of Directors of AEON, Maybank Investment Bank Berhad (“Maybank IB”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) has, vide its letter dated 14 April 2014, approved the following: (a) listing of and quotation for up to 351,000,000 Bonus Shares to be issued pursuant to the Proposed Bonus Issue on the Main Market of Bursa Securities; and (b) the Proposed Share Split. The approval by Bursa Securities is subject to the following conditions: (a) AEON and Maybank IB must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposals; (b) AEON and Maybank IB to inform Bursa Securities upon completion of the Proposals; (c) AEON to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; (d) AEON to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders of AEON at the extraordinary general meeting for the Proposals; (e) AEON and Maybank IB are required to make the relevant announcement pursuant to Paragraphs 6.35(2) and 6.35(4) of the Listing Requirements for the Proposed Bonus Issue; and (f) AEON or Maybank IB is required to make the relevant announcement pursuant to Paragraph 13.10(2) of the Listing Requirements for the Proposed Share Split.
