AMFIRST REAL ESTATE INVESTMENT TRUST (“AmFIRST REIT” OR “THE FUND”)
(I) PROPOSED RENOUNCEABLE RIGHTS ISSUE ON THE BASIS OF THREE (3) NEW UNITS IN AmFIRST REIT FOR EVERY FIVE (5) EXISTING UNITS IN AmFIRST REIT (“UNITS”) AT AN ENTITLEMENT DATE TO BE DETERMINED LATER (“PROPOSED RIGHTS ISSUE”); AND
(II) PROPOSED INCREASE IN THE EXISTING APPROVED FUND SIZE OF AmFIRST REIT FROM 429,001,000 UNITS TO 686,401,600 UNITS (“PROPOSED INCREASE IN FUND SIZE”)

We refer to the announcements dated 10 August 2011, 8 November 2011, 8 March 2012 and 13 March 2012 respectively in respect of the Proposals (collectively referred to as the “EarlierAnnouncements”). Unless otherwise stated, all definitions used in this announcement shall carry the same meaning as defined in the Earlier Announcements.
On behalf of the Board, AmInvestment Bank wishes to announce that Bursa Securities has vide its letter dated 2 April 2012, approved the listing of and quotation for 257,400,600 new Units to be issued pursuant to the Proposed Rights Issue, subject to inter-alia, the following conditions:-
(a) AmFIRST REIT and its adviser must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposals;
(b) AmFIRST REIT and its adviser to inform Bursa Securities upon the completion of the Proposals;
(c) AmFIRST REIT to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and
(d) AmFIRST REIT to furnish Bursa Securities a certified true copy of the resolution passed by the Unitholders in the Unitholders’ Meeting approving the Proposals.
