We refer to the announcement dated 30 October 2006 in relation to the Proposed Placement.
On behalf of the Board of Directors of Axis REIT Managers Berhad ("Axis REIT Managers"), the manager of Axis-REIT, Aseambankers Malaysia Berhad ("Aseambankers") is pleased to announce that the Securities Commission ("SC") had, vide its letter dated 31 January 2007 which was received on 5 February 2007, approved the Proposed Placement and the listing of and quotation for up to 50,000,000 new units of Axis-REIT on the Main Board of Bursa Malaysia Securities Berhad ("Bursa Securities"), subject to the following conditions:
(i) Aseambankers and Axis REIT Managers are to inform the SC the number of new units of Axis-REIT issued for each tranche and the date of issuance of these units;
(ii) The issuance of the new units of Axis-REIT and the listing of and the quotation for the new units on the Main Board of Bursa Securities must be completed within six (6) months from the date of the SC’s approval. The approval is deemed to lapse if Axis REIT Managers fails to do so within the stipulated time frame; and
(iii) The placement exercise must be in compliance with the Guidelines on Real Estate Investment Trusts and any amendments issued thereafter.
