Axis REIT Managers Berhad, the management company of Axis Real Estate Investment Trust ("Axis-REIT") (“Manager”), wishes to announce that certain Directors and Alternate Director of the Manager ("Affected Directors") have notified the Manager of the changes in their unitholdings arising from distribution of units held in Axis-REIT by Baiduri Kemas Sdn Bhd ("BKSB"), Prestigious Landmarks Sdn Bhd ("PLSB") and Crystal Properties Sdn Bhd ("CPSB") (all in members' voluntary liquidation). All the units in Axis-REIT held by BKSB, PLSB and CPSB (all in members' voluntary liquidation) have been duly distributed back to their shareholders in proportion to their respective shareholdings in BKSB, PLSB and CPSB (all in members' voluntary liquidation) on 27 June 2012 ("Distribution of Units"). The Affected Directors are major shareholders of BKSB, PLSB and CPSB (all in members' voluntary liquidation) and the Affected Directors were deemed interested in the units held by these companies prior to the Distribution of Units. As such the Distribution of Units back to the Affected Directors as shareholders who are beneficial owners shall not be considered as a form of dealing in units of Axis-REIT as it merely involves a change from indirect interests to direct interests of the Affected Directors.
