RIGHT AS TO VOTING


 

Unitholders' Rights As To Voting In The Annual General Meeting / Unitholders' Meeting

Voting Rights of Unitholders in accordance with the Deed constituting Axis-REIT – Paragraph 11 of Schedule 1 of the Deed :

  1. Every question arising at a meeting of unitholders shall be decided in the first instance by a show of hands, provided that a poll shall be taken in any case (either before or immediately after any question is put to a show of hands) where :

    1. it is required by the Deed or by law that the question be decided by a majority which is to be measured by a percentage of the votes of those present;
    2. it is demanded by the Chairman;
    3. it is demanded by the Trustee or the Management Company; or
    4. it is demanded by unitholders present (or represented by proxy) holding between them not less than 1/10 of the total number of units issued.
  2. Upon any question decided by a show of hands each unitholder present and each proxy shall have 1 vote and upon any question decided by a poll each unitholder present in person or by proxy shall have 1 vote for each unit it holds.
  3. At any meeting of the unitholders unless a poll is demanded in accordance with (a) above, a declaration by the Chairman that a resolution has been carried by any particular majority or lost or not carried by any particular majority shall be conclusive evidence of the fact.
  4. If at any meeting a poll is demanded pursuant to (a) above, it shall be taken in such manner and either at once or after an adjournment as the Chairman directs and the result of such poll shall be deemed to be the resolution of the meeting at which the poll was demanded. The demand for a poll may be withdrawn.
