We refer to our reply to query of 10 March 2000 and wish to confirm that Tuan Haji Ghazali Awang, a director of Kumpulan Guthrie Berhad ("KGB") and Guthrie Ropel Berhad ("GRB"), is deemed interested in the aforesaid transaction by virtue of him holding 20,000 shares in KGB and 12,000 shares in GRB as at the date of the transaction.

We also confirm that there is no other person connected with the abovenamed director who holds shares in KGB and GRB.

Query Letter Contents :

We refer to your announcement dated 28 February 2000.
In this connection, kindly furnish the Exchange with the following additional
information for public release:-
1) The date on which the terms of transaction were agreed upon.
2) The date of completion of the transactions.
3) Salient features of the agreement and valuation report, if any, and the
time and place where
such documents may be inspected.
4) Net book value of the assets based on the latest audited accounts.
5) The original cost of investment in the assets to the Company in
Transaction 2 and to the
vendor in Transaction 4 and the dates of investment.
6) The expected gains or losses arising from Transaction 2.
7) The breakdown of the consideration to Guthrie Ropel Berhad and its wholly
owned
subsidiaries as well as to Kumpulan Guthrie Berhad for Transaction 4.
8) Whether the substantial shareholders have any interest, direct or indirect
in the
transactions.
9) A statement by the Board of Directors stating whether or not the
transactions are in the
best interests of the Company.
10) The weighted average market price for the equity share capital of your
Company for the 5
market days prior to the date on which the terms of transaction were
agreed upon.

Kindly furnish the Exchange with your reply within two (2) market days from the
date hereof.
