1. Introduction The Board of Century wishes to announce that Century Advance Technology Sdn. Bhd. ("CAT"), a wholly-owned subsidiary of Century, had on 8 February 2012 acquired 150,000 and 100,000 ordinary shares of RM1.00 each in Century LED Sdn. Bhd. ("CLED") from Mr. Richard Leong Choong Chee and Mr. Lim Chong Joo, for a consideration of RM36,990/- and RM24,660/- respectively ("Acquisition"). Upon completion of the Acquisition, CLED shall become a wholly-owned subsidiary of CAT. 2. Financial Effects The Acquisition is not expected to have any material effect on the earnings per share, gearing and net assets per share of the Century Group. 3. Directors' and Major Shareholders' Interests None of the directors and/or major shareholders and/or persons connected to them, has any interest, direct or indirect in the Acquisition. 4. Statement of the Directors The Board of Directors of Century is of the opinion that the Acquisition is in the best interest of the Century Group. This announcement is dated 8 February 2012. | |
