The Board of Century wishes to announce that the Company will be seeking its shareholders' approvals for the above-captioned Proposals at the forthcoming Annual General Meeting of the Company to be convened.
Proposed RPT Mandate
The Company proposes that a renewal of mandate be sought from its shareholders to allow the Century Group to enter into recurrent related party transactions of a revenue or trading nature. The Company had, at its Annual General Meeting held on 12 May 2011, obtained the authority from its shareholders, the mandate to enter into recurrent related party transactions of a revenue or trading nature. This Proposed RPT Mandate will expire at the conclusion of the forthcoming Annual General Meeting.
Proposed Renewal of Authority for Share Buy-Back
The Company proposes to seek renewal of the authority from its shareholders to purchase its own ordinary shares of up to 10% of the issued and paid-up share capital. The Company had, at its Annual General Meeting held on 12 May 2011, obtained the approval from its shareholders to purchase its own shares of up to 10% of the issued and paid-up share capital. This authority for Share Buy-Back will expire at the conclusion of the forthcoming Annual General Meeting.

A Circular to the Shareholders containing information on the Proposals will be despatched to the shareholders in due course.
