The Board of CJ Century Logistics Holdings Berhad (formerly known as Century Logistics Holdings Berhad) ("CJ Century" or "the Company") wishes to announce that the Company will be seeking its shareholders' approvals for the above-captioned Proposals at the forthcoming Annual General Meeting of the Company to be convened:-
Proposed New Shareholders' Mandate for RRPT of a Revenue or Trading Nature The Company proposes that a new RRPT mandate be sought from its shareholders to allow the Company and/or its subsidiaries to enter into RRPT of a revenue or trading nature which are necessary for its day-to-day operations.
A Circular to the Shareholders containing information on the Proposed New RRPT Mandate will be despatched to the shareholders in due course.
Proposed Renewal of Shareholders' Mandate For RRPT of a Revenue or Trading Nature The Company proposes that a renewal of RRPT mandate be sought from its shareholders to allow the Company and/or its subsidiaries to enter into RRPT of a revenue or trading nature which are necessary for its day-to-day operations. The company had, at its Annual General Meeting held on 27 April 2018, obtained the mandate from its shareholders to enter into RRPT of a revenue or trading nature. This mandate will expire at the conclusion of the forthcoming Annual General Meeting. A Circular to the Shareholders containing information on the Proposed Renewal of RRPT Mandate will be despatched to the shareholders in due course.
Proposed Renewal of Authority for Share Buy-Back Authority for the Company to Purchase its own shares The Company proposes to seek renewal of the authority from its shareholders to purchase its own ordinary shares of up to 10% of the total number of issued shares. The Company had, at its Annual General Meeting held on 27 April 2018, obtained the approval from its shareholders to purchase its own shares of up to 10% of the total number of issued shares. This authority for Share Buy-Back will expire at the conclusion of the forthcoming Annual General Meeting. A Share Buy-Back Statement containing information on the Proposed Renewal of Authority for Share Buy-Back will be despatched to the shareholders in due course.
Proposed Adoption of a New Constitution The Company proposes to adopt a New Constitution which will bring the Company's Constitution to be in line with the Companies Act 2016 and the amended Main Market Listing Requirements of Bursa Malaysia Securities Berhad as well as to enhance administrative efficiency.
A Circular to the Shareholders containing information on the Proposed Adoption of a New Constitution will be despatched to the shareholders in due course.
