The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.
We refer to our earlier announcements dated 18 March 2015 and 2 April 2015.
On behalf of the Board of Directors of EAH, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 30 April 2015, resolved to approve the following:-
i. Listing of up to 267,356,264 Bonus Shares to be issued pursuant to the Proposed Bonus Issue;
ii. Listing of 470,400,000 new EAH Shares to be issued pursuant to the Proposed Acquisition ("Consideration Shares");
iii. Listing of up 30,212,649 additional Warrants A arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants A");
iv. Listing of up 24,555,364 additional Warrants B arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants B");
v. Listing of up 42,517,650 additional Warrants C arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants C"); and
vi. Listing of up 97,285,663 new EAH shares to be issued pursuant to the exercise of the Additional Warrants A, Additional Warrants B and Additional Warrants C.
The approval granted by Bursa Securities for the listing and quotation of the Consideration Shares and Bonus Shares is subject to the following conditions:-
i. EAH and RHBIB must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Acquisition and the Proposed Bonus Issue;
ii. EAH and RHBIB to inform Bursa Securities upon completion of the Proposed Acquisition, the Proposed Diversification and the Proposed Bonus Issue;
iii. EAH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition, the Proposed Diversification and the Proposed Bonus Issue are completed; and
iv. EAH and RHBIB are required to make the relevant announcements pursuant to Rule 6.36(2)(a) & (b) and 6.36(4) of the Listing Requirements.
