Reference is made to the announcements dated 15 September 2015, 6 October 2015, 18 December 2015, 28 December 2015, 13 January 2016, 20 January 2016, 21 January 2016, 29 March 2016, 30 March 2016 (“Announcements”) as well as the circular to the shareholders of Kerjaya dated 29 December 2015 (“Circular”) in relation to, inter-alia, the KPSB Consideration RCPS.

(Unless otherwise stated, the abbreviations and definitions used throughout this announcement shall have the same meaning as those previously defined in the Announcements and Circular.)

On behalf of the Board of Directors of Kerjaya, AmInvestment Bank Berhad and Astramina Advisory Sdn Bhd are pleased to announce that the Company has today, received notices from Egovision Sdn Bhd and Amazing Parade Sdn Bhd, being holders of the KPSB Consideration RCPS, to covert 85,034,483 KPSB Consideration RCPS into 85,034,483 new ordinary shares of RM0.50 each in Kerjaya (“Conversion Shares”) and 95,965,517 KPSB Consideration RCPS into 95,965,517 Conversion Shares respectively (“Conversion”).

Egovision had on 27 May 2016, nominated One Permatang Sdn Bhd (“One Permatang”) to receive 10,000,000 Conversion Shares, in place of Egovision, after the Conversion. One Permatang is an investment holding company jointly controlled by Datuk Tee, Datin Toh and TES.

The issued and paid-up share capital of Kerjaya after the Conversion will be RM240,089,544.50 comprising of:-

1. the latest issued and paid-up share capital of Kerjaya of 265,834,261 ordinary shares of RM0.50 each as at 5 May 2016 and 181,000,000 Conversion          
   Shares amounting to RM223,417,130.50; and

​2. 33,344,828 KPSB Consideration RCPS amounting to RM16,672,414
