Remarks :

In addition to the above, Ken is also undertaking the following:

(i) renounceable rights issue of 10,000,000 new Shares ("Rights Shares") at an issue price of RM1.10 per Rights Share payable in full upon acceptance on the basis of one (1) Rights Share for every two (2) existing Shares held at 5.00 p.m. on 6 November 2002 ("Rights Issue"); and

(ii) bonus issue of 10,000,000 new Shares to be fully credited as fully paid-up on the basis of one (1) new Share for each Rights Share subscribed ("Tier 2 Bonus Issue").

No books closure is necessary for the Tier 2 Bonus Issue as only subscribers to the Rights Issue will be entitled to the new Shares to be issued pursuant to the Tier 2 Bonus Issue.
