Remarks :

The underwriting agreement in respect of the Rights Issue has been executed.

In addition to the above, Ken is also undertaking a bonus issue of 30,000,000 new Shares ("Bonus Shares") ("Bonus Issue") to be credited as fully paid-up on a two-tier basis as follows:

Tier 1 - 20,000,000 Bonus Shares will be issued on the basis of one (1) Bonus Share for each existing Share held at 5.00 p.m. on 6 November 2002; and

Tier 2 - 10,000,000 Bonus Shares will be issued on the basis of one (1) Bonus Share for each Rights Share subscribed.

No books closure is necessary for the purpose of Tier 2 of the Bonus Issue as only subscribers to the Rights Issue will be entitled to the Bonus Shares.
