We refer to the announcements dated 3 January 2018, 10 January 2018, 24 January 2018 and 25 January 2018, and the circular to shareholders of Kerjaya dated 26 January 2018, in relation to the Proposals. Unless otherwise defined, the definitions set out in the previous announcements and circular shall apply herein. On behalf of the Board of Directors of Kerjaya (“Board”), AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that the Board has resolved to fix the exercise price of the Bonus Warrants at RM1.60 per Bonus Warrant. The exercise price for the Bonus Warrants represents a discount of approximately 9.10% to the theoretical ex-all price of Kerjaya Shares of RM1.76, calculated based on the five (5)-day volume weighted average market price (“VWAP”) of Kerjaya Shares up to and including 9 February 2018 of RM3.92 (i.e. the last trading day immediately prior to the price-fixing date). In addition, on behalf of the Board, AmInvestment Bank wishes to announce that the Board had on even date executed the deed poll constituting the Bonus Warrants.
