KERJAYA - Notice of Bonus Entitlement

1) BONUS ISSUE OF 677,437,658 NEW ORDINARY SHARES IN KERJAYA PROSPEK GROUP BERHAD ("KERJAYA") ("KERJAYA SHARES") ("BONUS SHARES") ON THE BASIS OF SIX (6) BONUS SHARES FOR EVERY FIVE (5) EXISTING KERJAYA SHARES HELD BY THE SHAREHOLDERS OF KERJAYA ("SHAREHOLDERS") WHOSE NAMES APPEAR ON KERJAYA'S RECORD OF DEPOSITORS AS AT 5.00 P.M. ON 27 FEBRUARY 2018 ("ENTITLEMENT DATE") ("ENTITLED SHAREHOLDERS").

2) BONUS ISSUE OF 169,359,414 NEW WARRANTS IN KERJAYA ("BONUS WARRANTS") ON THE BASIS OF SIX (6) BONUS WARRANTS FOR EVERY TWENTY (20) EXISTING ORDINARY SHARES IN KERJAYA PROSPEK GROUP BERHAD ("KERJAYA") ("KERJAYA SHARES") HELD BY THE SHAREHOLDERS OF KERJAYA ("SHAREHOLDERS") WHOSE NAMES APPEAR ON KERJAYA'S RECORD OF DEPOSITORS AT 5.00 P.M. ON 27 FEBRUARY 2018 ("ENTITLEMENT DATE") ("ENTITLED SHAREHOLDERS").

Kindly be advised of the following :

1)    The above Company’s securities will be traded and quoted “[Ex-Bonus Issue]” as from: 23 Feb 2018
2)    The last date of lodgment : 27 Feb 2018
3)    Retention Money: Where securities are not delivered in time for registration by the seller, then the brokers concerned:-
        a)    Selling Broker to deduct <6/11>, of Selling Price against the Selling Client
        b)    Buying Broker to deduct <54.54%>, of Purchase Price against the Buying Client
        c)    Between Broker and Broker, the deduction of <6/11>, of the Transacted Price is applicable.

Remarks 1: "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 27 February 2018 with bonus issue of KERJAYA shares, any shareholder who is entitled to receive KERJAYA bonus issue shares, may sell any or all of his KERJAYA shares arising from the bonus issue beginning the Ex-Date (23 February 2018).  

For example, if Mr X purchases 500 KERJAYA shares on cum basis on 22 February 2018, Mr X should receive 500 shares on 27 February 2018. As a result of the bonus issue, a total of 1100 KERJAYA shares will be credited into Mr X's CDS account on the night of 27 February 2018 being the Book Closing Date. Therefore, Mr X can sell the bonus issue shares of 1100 on or after the Ex-Date ie from 23 February 2018 onwards."

Remarks 2 : Shareholders are advised to read this notice of book closure together with the Company's announcements dated 12 February 2018 in relation to the notice of book closure for the Bonus Warrants. The date of listing of and quotation for the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") will be on 28 February 2018, being the next market day immediately after the Entitlement Date. The notice of allotment will be issued and despatched to the Entitled Shareholders within 4 market days after the date of the listing of and quotation for the Bonus Shares on the Main Market of Bursa Securities. 

Remarks 3: Shareholders are advised to read this notice of book closure together with the Company's announcements dated 12 February 2018 in relation to the notice of book closure for the Bonus Shares. The Bonus Warrants will be quoted on the Main Market of Bursa Malaysia Securities Berhad ("Bursa Securities") within 2 market days after the submission of the application for quotation of the Bonus Warrants to Bursa Securities. The notices of allotment will be issued and despatched to the Entitled Shareholders within 4 market days after the listing of and quotation for the Bonus Warrants.
