We refer to the above matter and the Exchange's letter dated 22 June 2000.

As requsted, we furnish herewith the following information:-

1. Based on the latest audited accounts of SY for the (11) months period ended 31 July 1999, the net tangible assets is RM20,639,203/- and the profits before and after taxation are RM4,977,049/- and RM4,075,614/- respectively.
2. No liabilities to be assumed by Tomisho Sdn. Bhd.
3. The acquisition is not subject to the approval of shareholders of Tomisho Holdings Berhad (THB) as none the vendors are directors nor substantial shareholders of THB.
4. Since incorporation of SY on 5 March 1993, the vendors are the promoters and pioneers and based on the audited accounts as at 31 July 1999, their cost of investment was RM10,113,210/- .
5. The acquisition is financed from bank borrowings and internally generated funds.
6. The Sales and Purchase Agreement dated 12 June 2000 is available for inspection at the registered office situated at 16th Floor, Menara Summit, Persiaran Kewajipan, USJ 1, 47600 UEP Subang Jaya, Selangor from Monday to Friday at 8:30 to 5:30 p.m..

We refer to your Company's announcement dated 14 June 2000 in respect of the
aforesaid matter.
In this connection, kindly furnish the Exchange with the following additional
information for public release:
(1) Net tangible assets and net profits of SY based on the latest audited
accounts.
(2) Particulars of all liabilities to be assumed by Tomisho Sdn Bhd.
(3) Whether the Acquisition is subject to the approval of shareholders.
(4) The original cost of investment of the 49% equity interest in SY to the
Vendors and the date
of the investment.
(5) The source of funds for financing the Acquisition.
(6) The time and place where the Sales and Purchase Agreement dated 12 June
2000 is
available for inspection.

Please furnish the Exchange with your reply within two (2) market days from the
date hereof.
