We refer to your letter dated 9 August 2000 in respect of the above.


As requested, we furnish herewith the following information :-

1. The said Land is freehold.

2. The said Land is “agriculture” in title and is located adjacent to the Japanese School in Subang Jaya and Hyatt Saujana in the state of Selangor. The said Land is rectangular and relatively flat and subject to approval of the authorities, the said land is suitable for housing development.

3. No valuation has been carried out yet on the Land. Independent Valuers are currently being appointed to carry out an official valuation on the land.

4. At present, we have no access to the Vendor's particulars with regard to the original cost and date of investment on the Land or its net book value.

5. (a) Salient features
The Proposal is conditional upon the fulfillment of certain conditions precedent stated in the Sale and Purchase and Supplementary Agreement entered into between the three Trustees and Saweena Group Sdn Bhd namely :-
(i) The rescission of the express condition in the title
(ii) The approval of the development layout by the authorities
(iii) The approval of the Foreign Investment Committee; and
(iv) The approval of the Shareholders of the Company (as such, an Extraordinary

        General Meeting (EGM) of the Company will be convened at a later date)
(b) Inspection of Agreement
        The Agreement can be inspected at 32-34, Medan Setia Dua, Plaza Damansara, Bukit Damansaa, 50490 Kuala Lumpur during office hours, Monday – Friday (8.30 a.m.to 5.00 p.m.) and Saturday (8.30 a.m. to 1.00 p.m.) up to date of EGM.

6. Ireka Construction Berhad Group will not assume any liabilities arising from the Proposal other than the payment of the purchase price upon the completion of the sale and purchase.

7. The initial sum paid (RM2,000,000.00) is a refundable deposit and the total sum is only payable upon Saweena Group Sdn Bhd fulfilling the conditions precedent stated in the Agreement and the obtaining of relevant approvals; which all in all is expected to take about seven to eight months from the date of Agreement; i.e. 27 July 2000.

Query Letter Contents :

We refer to your announcement on 1 August 2000 in respect of the above
mentioned Proposal.
In this connection, kindly furnish the Exchange with the following additional
information for public release:-
Tenure of the Land. If leasehold, to state expiry date of lease.
Brief description of the Land.
Whether any valuation was carried out on the Land. If so, state the name of
valuer, date of valuation and quantification of the open market value.
Original cost of investment in Land, date of such investment and the net book
value of the Land based on the latest audited accounts of the vendor.
Salient features of the agreement dated 27 July 2000 ("Agreement") and the
place, date and time the Agreement can be inspected.
Particulars of liabilities to be assumed by Ireka Construction Berhad Group
arising from the Proposal.
Arrangement for deferred payments of the purchase consideration for the Land,
if any.



Please furnish the Exchange with your reply within two (2) market days from the
date hereof.
