1) The audited profit after taxation of Deseng for the financial year ended 30 June 2000 (being the date of the latest audited accounts) is RM766,347.

2) There are no liabilities to be assumed by SHH Furniture Industries Sdn Bhd ,arising from the Proposed Acquisition.

3) The dates of investment by Gerak Teras Sdn Bhd in Deseng are as follows:

4) The date of the sale and purchase agreement for the Proposed Acquisition is 20 December 2000.
