PROPOSED ACQUISITION OF LAND MEASURING APPROXIMATELY 6.5 ACRES IN SUBANG HI-TECH INDUSTRIAL PARK, SHAH ALAM BY DIGI TELECOMMUNICATIONS SDN BHD ("Proposed Acquisition")
We refer to our announcement dated 4 May 2001 in relation to the above captioned and as requested by the Kuala Lumpur Stock Exchange ("KLSE") vide its letter dated 25 May 2001 (ref: NM-010508-39847), we furnish herewith the additional information as follows:-
Save as disclosed under item 6 of our announcement dated 4 May 2001, none of the persons connected with the Directors and/or substantial shareholders of DiGi.Com Berhad has any interest, directly or indirectly in the Proposed Acquisition.
The valuation report on the subject land was dated 19 March 2001. The said valuation report is available for inspection at the Registered Office of DiGi.Com Berhad, Level 17 Menara Shahzan Insas, 30 Jalan Sultan Ismail, 50250 Kuala Lumpur during the normal office hours from Monday to Friday.
The Proposed Acquisition will be financed by internally generated funds.
The Company has no information in relation to the original cost and date of investment for the subject land of the vendor, Berjaya Land Development Sdn Bhd.
As the Proposed Acquisition falls under Section 132E of the Companies Act, 1965, prior approval of the Company in general meeting will be obtained before the Company accepts the terms of the Proposed Acquisition.
The Company has no information in relation to the Net Book Value of the subject land in Berjaya Land Development Sdn Bhd.
The Board of Directors of DiGi.Com Berhad is of the opinion that the Proposed Acquisition is in the best interest of the Company.
