This announcement is dated 23 January 2014. Reference is made to the announcements dated 5 February 2013, 28 February 2013, 15 March 2013, 28 March 2013, 9 May 2013, 2 August 2013, 21 August 2013, 12 November 2013 and 30 December 2013 in relation to the Proposed Acquisitions (“Earlier Announcements”) and the circular to shareholders of LTHB dated 5 August 2013 (“Circular”). Unless otherwise stated, the capitalised expressions used throughout this announcement shall have the same meanings respectively as defined in the Earlier Announcements and Circular. On behalf of the Board of Directors of LTHB, AmInvestment Bank Berhad is pleased to announce that the Proposed Acquisitions have been completed on 23 January 2014 following the cancellation of 186,000,000 LTIGL Shares held by LTHB with effect from 23 January 2014. Consequent thereupon, LTHB ceases to hold any shares in LTIGL, and the entire LTIGL’s ownership in the equity shares of the Target Companies have been transferred to LTHB. Pursuant to the terms of the SPA, Madam Lin Chen Jui-Fen, Mr Yeoh Joe Son and Mr Toh Seng Thong have resigned from their respective offices as directors of LTIGL and employment with LTIGL with effect from 23 January 2014. | |
