Introduction The Board of Directors of Latitude Tree Holdings Berhad (“LTHB”) wishes to announce that LTHB had on 12 December 2011, acquired Four Million (4,000,000) shares in Latitude Tree International Group Ltd (“LTIG”) for cash from the open market and registered in the name of Kim Eng Securities Pte Ltd (the “Acquisition”). The equity interest of the Company in LTIG increased from 75.95% to 77.62% following the Acquisition. Background information on LTIG LTIG is an investment-holding company incorporated in Singapore on 8 October 2007 with an issued share capital of 239,630,000 shares. LTIG was listed on Catalist of the Singapore Exchange Securities Trading Limited (“the SGX-ST”) on 19 August 2009. The Directors of LTIG are Lin, Tzu-Keng, Yeoh Joe Son, Ng Wei Hua, Yek Siew Liong, Phuan Phui Seck, Toh Seng Thong and Peter Sim Swee Yam. The substantial shareholder of LTIG is Latitude Tree Holdings Berhad. Financial Effects The Acquisition will not have any material effect on the earnings, net assets per share, gearing, share capital and substantial shareholders’ shareholdings of LTHB. Directors’ and Substantial Shareholders’ Interest Save and except for Mr Lin, Tzu-Keng, Mdm Lin Chen, Jui Fen, Mr Yek Siew Liong and persons connected to them; none of the other Directors and/or substantial shareholders and/or persons connected to them have any interest, direct or indirect in the abovementioned Acquisition.
