We refer to our announcement of 31 May 2017 in regard to the agreement signed on the same date (“Said Agreement”) for the provision of a term loan of RM14 million (“Loan”) by Nylex to Ancom, its holding company.

Pursuant to the Said Agreement, Ancom shall repay the Loan by 31 May 2019, being the day falling twenty-four (24) months from the date of drawdown (“Original Repayment Date”).

The Board of Directors of Nylex (“the Board”) wishes to announce that it has on 3 April 2019, received a request from Ancom, to allow an extension of twenty-four (24) months from the Original Repayment Date for the repayment of the Loan. The date for the repayment of the Loan shall therefore be extended to 31 May 2021.

All terms and conditions of the Said Agreement shall remain in full force and effect, save and except for the date of repayment.

The Board of Nylex has on 19 April 2019 approved the request from Ancom (“Extension Agreement”).

The Extension Agreement is not subject to the approval of the Company’s shareholders or any other regulatory authorities.

Dato’ Siew Ka Wei, the Group Managing Director, is a substantial shareholder of Ancom via his direct interest of 11.56% and his indirect interest of 9.70% in Ancom. Ancom and its wholly owned subsidiary, Rhodemark Development Sdn Bhd, are substantial shareholders of the Company with an equity interest of 17.54% and 30.74% respectively in the Company. The parties related to Dato’ Siew, namely, Siew Nim Chee & Sons Sdn Bhd, Silver Dollars Sdn Bhd, Datin Young Ka Mun and Quek Lay Kheng, hold a total of 3.11% equity interest in the Company. Dato’ Siew also has a direct equity interest of 1.15% in the Company. Dato’ Siew has abstained from all deliberations and voting on the Proposed Loan.

All percentages of equity interest disclosed are as at 18 April 2019.
