This announcement is dated 8 December 2015.

Reference is made to Protasco’s announcements dated 24 November 2015 (“Announcement”) and 25 November 2015 in relation to the Proposed Private Placement.

Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Announcement.

On behalf of the Board of Directors of Protasco, AmInvestment Bank Berhad (“AmInvestment Bank”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide its letter dated 7 December 2015, granted its approval for the listing of and quotation for up to 34,069,409 new ordinary shares of RM0.50 each in Protasco pursuant to the Proposed Private Placement subject to the following conditions:

1. Protasco and AmInvestment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposed Private Placement;
2. Protasco and AmInvestment Bank to inform Bursa Securities upon the completion of the Proposed Private Placement;
3. Protasco to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and
4. AmInvestment Bank to furnish Bursa Securities with the following:

           (i) details of the placees as per paragraph 6.15 of the Listing Requirements for Bursa Securities’ review, prior to the issuance/allotment of shares to the placees; and

           (ii) confirmation that the placees do not fall within any of the category of persons specified in paragraph 6.04 (c) of the Listing Requirements.
