Unless otherwise defined, the abbreviations and definitions used in the announcement by the Company dated 17 January 2018 and 2 March 2018 ("Announcements") shall apply herein.

We refer to the Announcements in relation to the Proposals.

On behalf of the Board, RHB Investment Bank is pleased to announce that Bursa Securities had, vide its letter dated 15 March 2018, approved the following:

1. Listing of and quotation for 70,782,152 Bonus Shares;
2. Admission to the Official List and listing of and quotation for 106,173,228 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and
3. Listing of and quotation for 106,173,228 new Protasco Shares to be issued arising from the exercise of Warrants.

The approval by Bursa Securities is subject to the following conditions:

1. Protasco and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities (“Listing Requirements”) pertaining to the implementation of the Proposals;
2. Protasco and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposals;
3. Protasco and RHB Investment Bank to furnish a certified true copy of the resolution passed by shareholders at the shareholders’ meeting for the Proposals;
4. Protasco to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed; and
5. Protasco and RHB Invesment Bank are required to make the relevant announcements pursuant to Paragrpahs 6.35(2)(a) and (b), and 6.35(4) of the Listing Requirements.
