We refer to your letter dated 12 May 2000 on the news article which appeared in the Business Section of The New Straits Times on even date.

Please be informed that the discussions between the Informal Committee representing all Bondholders and the Company in respect of its USD375.0 million Euro-Convertible Bonds due 2004 are still on-going. Several discussions were held but to-date, we have yet to finalise the terms and conditions for the restructuring of the said Bonds.

Hence, the report that the Company will hold a signing ceremony next week is untrue.

We refer to the above news article appearing in the New Straits Times, Business
Section, page 1, on Friday, 12 May 2000 , a copy of which is enclosed for your
reference.
In particular, we would like to draw your attention to the underlined
sentences which are reproduced as follows:-
"TECHNOLOGY Resources Industries Bhd is believed to be hosting a bondholders
meeting next week with a view to possibly extending its current Eurobond tenure
by another two years ... "
"Sources said bondholders had been contacted for the meeting."
"... a 'signing ceremony' would be held next week."

underlined sentences after due and diligent enquiry with all the directors,
