We refer to your query of 25th July 2000 and are pleased to furnish the following:

1) The net book value of the properties based on the last audited accounts of Tru-Tech Electronics (M) Sdn. Bhd. ("TTE") is RM4,735,875.

2) Non of the directors nor the substantial shareholders have any interest direct or indirect in the Disposal.

3) The Sale and Purchase Agreement can be inspected during normal working hours i.e. Mondays to Fridays between 8.00a.m. to 6.00p.m. at Lot 45, Batu 12, Jalan Kota Tinggi, Mukim of Plentong, 81800 Ulu Tiram.

4) The date of investment by TTE in the properties was on 1st April 1996.

5) The names of the shareholders and directors of the purchasers are as follows:

6) The disposal is in line with TTE's restructuring programme whereby non-core assets and non income generating assets will be disposed off. There is no immediate use nor in the near future for the land which is currently under agricultural status. The disposals will reduce TTE's interest cost as well as provide an extraordinary gain of RM546,215.

7) There will be no liabilities to be assumed by the purchaser, arising from the disposal

and Artic Fashion Sdn. Bhd. and their respective shareholdings therein.
6. Rationale for the Disposal.
7. Particulars of all liabilities to be assumed by the Purchasers, arising
from the
Disposal.
