We refer to the above article appearing on Bloomberg, on Thursday, 18 January 2001.
We would like to advise that we have been in discussions with Mayne Nickless Limited (“MNL”) and have today submitted an acceptance form to them in respect of our 24.4% shareholding in Australian Hospital Care Limited (“AHCL”) based on a varied offer.
The varied offer that Landmarks has accepted is on the basis of 1 MNL share for every 3.9 AHCL shares with shareholders who take up this alternative not being entitled for the proposed AHCL special dividend of up to 5 cents per share. This varied offer provides a third alternative for the shareholders of AHCL. The other two alternatives remain being a cash offer of A$1.15 per share and an exchange of shares based on a ratio of 1 MNL share for every 4.2 AHCL shares, both alternatives entitling AHCL shareholders to the special dividend.
Landmarks believes the alternative accepted by Landmarks provides a fair value for Landmarks interest in AHCL.
