DUAL LISTING ON A FOREIGN STOCK EXCHANGE

The Board of Directors of Sunmart Holdings Limited (the "Company"; together with its subsidiary, the "Group") wishes to announce that it is currently exploring the possibility of seeking a dual listing of its ordinary shares (the "Shares") on a foreign stock exchange (the "Foreign Listing").

The Directors are of the view that it would be desirable and beneficial for the Company's long term growth and development to have dual listing status in both Singapore and another stock exchange in the Asia Pacific, so that the Company can have ready access to these different equity markets in the Asia Pacific region when the opportunity arises.

The Company is in the process of formalizing the appointment of professional advisers for the purpose of the Foreign Listing. As at the date of this announcement, no formal application has been made to any foreign stock exchange for the listing of the Shares or any other forms of instruments to be issued by the Company. It is also possible that the Foreign Listing may take the form of the issuance and listing of depository receipts on a foreign stock exchange.

Once the Company has taken a decision on the venue and manner for the Foreign Listing, it will make the appropriate follow-up announcements, and will convene an extraordinary general meeting to seek the approval of the shareholders of the Company (the "Shareholders") on, inter alia, the Foreign Listing.

The Board of Directors wishes to highlight that at this juncture, there is no certainty that the Foreign Listing may occur, as this is subject to various important factors including but not limited to shareholders' approval to be obtained, approval from the foreign stock exchange, and prevailing market conditions. The Company will announce any material updates when appropriate.

Shareholders and other investors are reminded to exercise caution when dealing in the Shares. In the event that Shareholders and other investors are in doubt when dealing in the Shares, they should consult their stockbrokers, bank managers, solicitors, accountants or other professional advisers.
