      Following our announcement on 18 February 2000, we are pleased to furnish the following additional information for public release as requested by the Kuala Lumpur Stock Exchange under the respective caption of the earlier announcement:-

      (a) Eventual issued and paid-up share capital of ITAV

      Currently, the maximum share capital of ITAV would be RM20,000,040 comprising 2,000,040 ordinary shares of RM1.00 each and 18,000,000 redeemable cumulative preference shares (“RCPS”) of RM1.00 each.

      (b) The date of each subscription of ordinary shares and preference shares over the five year period

      The expected date for the allotment and issuance of additional 2,000,020 ordinary shares of RM1.00 each in ITAV is in one months’ time.

      (c) Total capital and investment outlay in ITAV based on the eventual issued share capital

      Currently, the issue and paid-up share capital of ITAV is RM20 comprising 20 ordinary shares of RM1.00 each of which TH Group holds 70%. The existing shareholders will be subscribing for an additional 40 ordinary shares of RM1.00 each for a total cash consideration of RM2,000,020 and thereafter, ITAV will capitalise from the share premium account 1,999,980 ordinary shares credited as fully paid-up on the basis of 33,333 ordinary shares for every one existing ordinary share then held.

        The total capital and investment outlay by TH Group in ITAV based on the eventual issued share capital would be up to RM70,400,022 as follows:-

        Barring any unforeseen circumstances, it is anticipated that the first year the investments by ITAV would have any effect to TH Group’s position would be for the financial year ending 31 December 2001.

Query Letter Contents :

We refer to your announcement dated 17 January 2000 in respect of the aforesaid
matter.
In this connection, kindly furnish the Exchange with the following additional
information for public release :-
1) Date of incorporation of ITAV.
2) Eventual issued share capital of the ITAV.
3) To elaborate on "strategic areas" as mentioned in paragraph 1 of your
announcement.
4) The date of each subscription of ordinary shares and preference shares
over the five years
period.
5) Total capital and investment outlay in ITAV based on the eventual issued
share capital.
6) Particulars of the equity interest in ITAV (including the preference
shares) held by each
joint venture partner.
7) Details of each of the joint venture partners.
8) Date of commencement of business operations.
9) The effect of the Proposed Subscription on the earnings per share and net
tangible assets
per share of TH Group.
10) Whether any directors, substantial shareholders and/or persons connected
to directors
and/or substantial shareholders have any interest, direct or indirect,
in the transaction.
11) The salient features of the agreement, and the time and place where such
documents may
be inspected.
12) A statement by the Board of Directors stating whether or not the Proposed
Subscription is
in the best interest of the Company.
13) The weighted average market price for the equity share capital of TH Group
for the five (5)
market days prior to the date of the agreement.


Kindly furnish the Exchange with your reply within two (2) market days from the
date hereof.
