We refer to your letter of 21 April 2000 in relation to the aforementioned article appearing in the Sun, Sun Biz Section and would like to advise that pursuant to the terms of the option agreements dated 18 March 2000 entered into between Dijaya Enterprise Bhd ("DEB") and the three Internet companies namely, 1800Assist.com Sdn Bhd, MyETutor.com Sdn Bhd and MCities.com Sdn Bhd, the parties to the agreements acknowledged that it is their mutual intention to seek listing and quotation of the shares at a stock exchange to be mutually agreed.

It is to be noted that the intention to seek public listing has been made alluded to vide DEB's reply to the Exchange's query dated 24 March 2000 which was mentioned under paragraphs 6(a) and 6(c) of the said announcement. In addition to this, the three option agreements have also been made as material contracts available for public inspection as stated in the independent advice circular to shareholders dated 14 April 2000.

As regards the specific stock exchange that the three companies intend to seek public listing and duration of the listing exercise, the Board of Directors of DEB would not be able to comment as DEB is not yet a shareholder of the said companies until the options are exercised. In any event, it would probably be premature as well.

We refer to the above news article appearing in The Sun, Sun Biz Section, page
1, on Friday, 21 April 2000, a copy of which is enclosed for your reference.
In particular, we would like to draw your attention to the underlined
