We refer to your query letter dated 10 August 2000 in relation to the aforementioned news article appearing in The Star, and would like to clarify that we have been informed by the Directors of 1800Assist.com Sdn Bhd ("1800Assist") that the promoter ( Distributed Document System Sdn Bhd or "DDS" ) of its 60% owned subsidiary EBPPServices.com Sdn Bd (formerly known as Pioneer Identity Sdn Bhd) ("EBPPServices") has proposed to offer 5% of the enlarged share capital of EBPPServices which is equivalent to 84,000 ordinary shares, in exchange for the intellectual contribution of Xenos Group Inc. Canada being their preferred technology partner ("Proposed Offer").
The Proposed Offer will be effected by legal documentation between DDS and the Xenos Group. The Proposed Offer will not have any impact on the shareholding of 1800Assist in EBPPServices as the 5% stake will be from DDS, which will result in its shareholding being reduced from 40% to 35% after the Proposed Offer.

page 8, on Thursday, 10 August 2000, a copy of which is enclosed for your
reference.
In particular, we would like to draw your attention to the underlined sentence,
which is reproduced as follows:-

formalised the agreement by taking a 5% stake in its subsidiary,
