Reference is made to the announcement of 17 January 2001 and to your letter dated 18 January 2001.

The Board of Woodlandor Holdings Berhad wishes to furnish the following information as requested:-

1. Timtruss Sdn. Bhd. ("Timtruss") was served with a statutory notice pursuant to Section 218 of the Companies Act, 1965 by Demigaya Sdn. Bhd. ("Demigaya") on 19 September 2000.
2. The circumstances leading to the aforesaid statutory notice was the delay by Timtruss to release the disputed retention sum of RM26,546.00.
3. The solicitors of Demigaya has not proceeded beyond the aforesaid statutory notice pending settlement discussion by both Timtruss and Demigaya. Accordingly, both parties have agreed on settlement as reported in our announcement of 17 January 2001.

We refer to your announcement dated 17 January 2001, in respect of the
aforesaid matter.
In this connection, kindly furnish the Exchange immediately with the following
information for public release:-
1.

The date the winding-up petition was served on Timtruss.
2.

3.
The details of the default or circumstances leading to the filing of the
winding-up petition.

The date of hearing of the winding-up petition.
