Unless otherwise stated, definitions used in this Announcement shall carry the same meanings as those defined in the announcements dated 24 July 2012and 2 August 2012 in relation to the Proposals. We refer to the announcements dated 24 July 2012, 2 August 2012, 3 September 2012 and 15 October 2012 on the Proposals. On behalf of the Board, RHB Investment Bank wishes to announce that the Sabah Forestry Department had, vide its letter dated 11 October 2012, not accepted the proposal by TH for the following:- (a) the assignment of the Sustainable Forest Management Licence Agreement dated 2 September 1998 between TH and the Chief Minister of the State of Sabah to TH-Bonggaya; or (b) the execution of the Teak and Rubber Plantation Development Agreement with TH-Bonggaya. The aforesaid proposal by TH forms part of the conditions precedent of the SSA dated 2 August 2012 in relation to the Proposed Acquisitions. In relation thereto, TH has informed the Company that they will appeal against the decision and shall in its best endeavours ensure that Clause 3.1.1(ii) of the SSA will be met. An announcement will be made once TH informs the Company on the outcome of the appeal. This Announcement is dated 17 October 2012.
