The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to our earlier announcements dated 6 August 2015 and 17 August 2015.

On behalf of the Board of Directors of Instacom, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 21 September 2015 (which was received on 22 September 2015), resolved to approve the following:-

i.    Listing of up to 657,103,877 Instacom Shares to be issued pursuant to the Proposed Bonus Issue; 

ii.    Listing of 605,840,000 Instacom Shares to be issued pursuant to the Proposed Acquisition;

iii.    Listing of up to 125,234,875 additional Warrants B arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants B");

iv.    Listing of up to 50,093,878 additional Warrants C arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants C"); 

v.    Listing of up to 48,177,432 additional Warrants D arising from the adjustments pursuant to the Proposed Bonus Issue ("Additional Warrants D"); and 

vi.    Listing of up to 223,506,185 new Instacom Shares to be issued pursuant to the exercise of the Additional Warrants B, Additional Warrants C and Additional Warrants D.

The approval granted by Bursa Securities for the listing and quotation of the Consideration Shares and Bonus Shares is subject to the following conditions:-

i.     Instacom and RHBIB must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Acquisition and Proposed Bonus Issue;

ii.    Instacom and RHBIB to inform Bursa Securities upon completion of the Proposed Acquisition and Proposed Bonus Issue; 

iii.    Instacom to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition and Proposed Bonus Issue is completed; and

iv.    Instacom and RHBIB are required to make the relevant announcements pursuant to Rule 6.36(2)(a)&(b) and 6.36(4) of the Listing Requirements.
