INSTACO - Notice of Bonus Entitlement

Bonus issue of up to 657,103,877 new ordinary shares of RM0.10 each in Instacom Group Berhad ("Instacom") ("Instacom Share(s)") ("Bonus Share(s)") to be credited as fully paid-up on the basis of one (1) Bonus Share for every three (3) existing Instacom Shares held at 5.00 p.m. on 4 November 2015.

Kindly be advised of the following: -  

1) The above Company's securities will be traded and quoted ["Ex – Bonus Issue" ] as from: [ 2 November 2015 ] 

2) The last date of lodgment: [4 November 2015]  

3) Retention Money: Where securities are not delivered in time for registration by the seller, then the 
    brokers concerned:-  

          a) Selling Broker to deduct [1/4] of the Selling Price against the Selling Client. 
          b) Buying Broker to deduct [25%] of the Purchase Price against the Buying Client. 
          c)   Between Broker and Broker, the deduction of [1/4] of the Transacted Price is applicable. 

Remarks 1:- "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place on 5 November 2015 with bonus issue of INSTACO shares of RM 0.10 each, any shareholder who is entitled to receive INSTACO bonus issue shares, may sell any or all of his INSTACO shares arising from the bonus issue beginning the Ex-Date (2 November 2015).  

For example, if Mr X purchases 300 INSTACO shares on cum basis on 30 October 2015, Mr X should receive 300 shares on 4 November 2015. As a result of the bonus issue, a total of 400 INSTACO shares will be credited into Mr X's CDS account on the night of 4 November 2015 being the Book Closing Date. Therefore, Mr X can sell the bonus issue shares of 400 on or after the Ex-Date ie from 2 November 2015 onwards."

Remarks 2:- The Bonus Shares will be listed and quoted on 5 November 2015, being the next market day after the book closure date. The Share Registrar of Instacom will issue and despatch notice of allotment to all entitled shareholders of Instacom within four (4) market days after the date of listing of and quotation for the Bonus Shares on the ACE Market of Bursa Malaysia Securities Berhad. Holders of Warrants B, Warrants C and Warrants D of the Company shall qualify for entitlement to the Bonus Issue PROVIDED that the warrant holders lodge their duly executed and completed conversion forms together with the relevant bank drafts with the Share Registrar by 5.00 p.m. on Friday, 23 October 2015. This announcement is dated 21 October 2015.
