Unless stated otherwise, the terms used herein shall carry the same meaning as those defined in the earlier announcements in relation to the Proposed Private Placement.

We refer to the earlier announcements dated 29 June 2017, 4 July 2017 and 7 July 2017 in relation to the Proposed Private Placement.

On behalf of the Board of Directors of Vivocom, RHB Investment Bank Berhad ("RHBIB") wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 14 July 2017, resolved to approve the listing and quotation of up to 435,155,910 Placement Shares to be issued pursuant to the Proposed Private Placement subject to the following conditions:-

i.          Vivocom and RHBIB must fully comply with the relevant provisions under the Ace Market Listing Requirements of Bursa Securities ("Listing Requirements") pertaining to the implementation of the Proposed Private Placement;

ii.          Vivocom and RHBIB to inform Bursa Securities upon the completion of the Proposed Private Placement;

iii.         Vivocom to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed; and

iv.         RHBIB to furnish Bursa Securities with details of the placees as per Rule 6.16 of the Listing Requirements for Bursa Securities' review, prior to the issuance/ allotment of the Placement Shares.
