The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposed Rights Issue with Warrants.

We refer to the earlier announcements dated 22 February 2018 and 27 March 2018.

On behalf of the Board, UOBKH wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") has, vide its letter dated 8 May 2018, resolved to approve the following:-

i.          Admission to the Official List and the initial listing and quotation of up to 1,505,353,035 Warrants E to be issued pursuant to the Proposed Rights Issue with Warrants;

ii.          Listing and quotation of:-

a)         up to 313,072,939 additional Warrants B ("Additional Warrants B");

b)         up to 125,183,756 additional Warrants C ("Additional Warrants C"); and

c)         up to 120,412,150 additional Warrants D ("Additional Warrants D"),

arising from the adjustments in accordance with the provisions of the deed poll for the Warrants B, Warrants C and Warrants D pursuant to the Proposed Rights Issue with Warrants;

iii.         Additional listing of:-

a)         up to 3,010,706,070 Rights Shares to be issued pursuant to the Proposed Rights Issue with Warrants;

b)         up to 1,505,353,035 new Vivocom Shares to be issued pursuant to the exercise of the Warrants E;

c)         up to 313,072,939 new Vivocom Shares to be issued pursuant to the exercise of the Additional Warrants B;

d)         up to 125,183,756 new Vivocom Shares to be issued pursuant to the exercise of the Additional Warrants C; and

e)         up to 120,412,150 new Vivocom Shares to be issued pursuant to the exercise of the Additional Warrants D.

The approval granted by Bursa Securities for the Proposed Rights Issue with Warrants is subject to the following conditions:-

i.          Vivocom and UOBKH must fully comply with the relevant provisions under the ACE Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue with Warrants;

ii.          Vivocom and UOBKH to inform Bursa Securities upon the completion of the Proposed Rights Issue with Warrants;

iii.         Vivocom to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Rights Issue with Warrants is completed; and

iv.         Vivocom to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of the Warrants E as at the end of each quarter together with a detailed computation of listing fees payable.
