We refer to the Company’s announcement dated 5 May 2021, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1) Justification for the issue price of the Consideration Shares, in particular the discount ranging from approximately 15.00% to 44.87% to the volume weighted average market prices of Vivocom shares up to and including the last trading day prior to the date of the announcement.
2) The highest percentage ratio applicable to the Proposed Subscription pursuant to Rule 10.02(g) of the ACE Market Listing Requirements (“ACE LR”).
3) Information as required under Appendix 10C, Chapter 10 of the ACE LR.  
4) Whether an independent adviser has been appointed to advise the minority shareholders, and the name of the independent adviser.
