We refer to the prior announcements in relation to the Proposed Acquisitions (“Announcements”) dated 10 January 2014, 13 January 2014 and 21 January 2014. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said Announcements in relation to the Proposed Acquisitions. On behalf of the Board, HwangDBS Investment Bank Berhad (“HwangDBS”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide its letter dated 14 February 2014 approved the listing of 6,522,200 new JCB Shares to be issued pursuant to the Proposed Acquisitions (“Consideration Shares”) subject to, inter-alia, the following conditions:- (a) JCB and HwangDBS must fully comply with the relevant provisions under the Main Market Listing Requirements (“LR”) pertaining to the implementation of the Proposed Acquisitions; (b) JCB and HwangDBS to inform Bursa Securities upon the completion of the Proposed Acquisitions; (c) JCB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Acquisitions are completed; and (d) JCB to furnish Bursa Securities with a certified true copy of the resolution passed pursuant to Section 132D of the Companies Act, 1965, in the event the current authority has expired. In the event that the Consideration Shares will be listed and quoted as the existing securities of the same class, quotation of the new ordinary shares will commence on the next market day after the following: (i) Submission of the share certificate together with a covering letter containing the summary of the Proposed Acquisitions to Bursa Malaysia Depository Sdn Bhd (“Bursa Depository”) before 10.00 a.m. on the market day prior to the listing date; (ii) Receipt of confirmation from Bursa Depository that the additional new shares are ready for crediting into the securities accounts of the account holder; and (iii) An announcement in accordance to paragraph 13.2 of Practice Note 28 of the LR is submitted via Bursa Link before 3.00 p.m. on the market day prior to the listing date. This announcement is dated 14 February 2014.
