We refer to the prior announcement dated 19 February 2014 in relation to the Proposals (“Initial Announcement”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said Initial Announcement in relation to the Proposals.

Pursuant to the Initial Announcement and the Circular dated 29 April 2014 in relation to the Proposals, the Proposed Disposals are subject to, amongst others, the approval being granted by the Competition Commission of Singapore (“CCS”) indicating that the CCS approves the completion of the Proposed Disposals without any conditions which in the good faith judgment of SEEK Limited would have a material adverse effect on the expected benefits to SEEK Asia Investments Pte Ltd and its affiliates (including the Disposal Companies from Closing) from the transactions.

The Board would like to announce that CCS has advised that it is further investigating the competitive impact of the Proposed Disposals in Singapore and entering into a Phase 2 review. SEEK Asia Investments Pte Ltd and JobStreet are working in co-operation with the CCS and we will announce the outcome of the Phase 2 review upon CCS’s decision.

Subject to the timing and outcome of the CCS review, fulfilment of all conditions precedent as set out in the Philippines SSA and the JobStreet SSA  and all the requisite approvals  being obtained (as set out in Section 9 of the Circular), the Proposals are expected to be completed by the third quarter of 2014.
