We refer to the announcements dated 29 January 2014, 4 April 2014, 10 April 2014, 15 April 2014, 9 June 2014, 11 July 2014, 9 September 2014 and 8 October 2014 in respect of the Proposals.
On behalf of the Board, CIMB and RHB wish to announce that MSP and MTB had, via a second supplemental letter dated 8 January 2015, mutually agreed to extend the conditional period to fulfill all the conditions precedent as set out in the Platinum SPA by a further 3 months from 9 January 2015 to 9 April 2015 (“Further Extended Conditional Period”).
For the avoidance of doubt, the period for the fulfillment of the condition precedent as set out in clause 4.1 (h) of the Platinum SPA and Section 2.4.5 (h) of the announcement dated 10 April 2014 relating to the receipt by MTB of the proceeds from the Proposed Placement or from the underwriting of the Units in relation to the Proposed Placement, shall not be automatically extended by a further period of 3 months after the expiry of the Further Extended Conditional Period but shall instead expire at the end of the Further Extended Conditional Period.
