We refer to the earlier announcements in relation to the Private Placement. Unless otherwise stated, the terms used herein shall have the same meaning as defined in the said announcements in relation to the Private Placement.
On behalf of the Board, RHB Investment Bank wishes to announce that the issue price for the third tranche of the Private Placement comprising up to 63,693,171 Placement Shares has been fixed on 27 October 2016 (“Price-Fixing Date”) at RM1.26 per Placement Share (“Third Tranche”).
The issue price of RM1.26 per Placement Share represents a discount of approximately 9.37% to the five (5)-day volume weighted average market price of MRCB Shares up to and including 26 October 2016 (being the last market day prior to the Price-Fixing Date) of RM1.3903 per MRCB Share.
For information purposes, the actual number of Placement Shares to be placed out under the Third Tranche will depend on the final acceptance by the identified placees. In the event the entire 63,693,171 Placement Shares is placed out, the Third Tranche will be the final tranche for the Private Placement. Any Placement Share not placed out under the Third Tranche may be placed out in a subsequent tranche. The issue price for the subsequent tranche (if applicable) will be determined and announced by the Board separately.
