The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Proposed Bonus Issue of Shares.

We refer to the earlier announcements dated 6 January 2022 and 10 January 2022 in relation to the Proposed Bonus Issue of Shares.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 17 January 2022, approved the listing and quotation for 564,000,000 new Pecca Shares to be issued pursuant to the Proposed Bonus Issue of Shares.

The approval granted by Bursa Securities for the Proposed Bonus Issue of Shares is subject to the following conditions:-

i. Pecca and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue of Shares;

ii. Pecca and UOBKH are required to inform Bursa Securities upon the completion of the Proposed Bonus Issue of Shares;

iii. Pecca/ UOBKH is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming general meeting approving the Proposed Bonus Issue of Shares;

iv. Pecca and UOBKH are required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Bonus Issue of Shares is completed; and

v. Pecca and UOBKH are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements.
