We wish to announce that Sunway M & E Sdn Bhd (“SMESB”) and Sunway Smartek Sdn Bhd (“SSSB”), both subsidiaries of Sunway, had on 10 December 2014, passed a member’s resolution for the voluntary winding up of the said companies.

SMESB was incorporated on 9 December 1992 with an authorised and paid-up share capital of RM500,000/-. The principal activity of SMESB was provision of mechanical and electrical works and it had ceased operation since 2003.

SSSB was incorporated on 3 October 2006 with an authorised and paid-up share capital of RM2/-. SSSB has not commenced operation since its incorporation.

Both SMESB and SSSB had appointed Mr Ong Lai @ Ong Kong Lai and Mr Wong Cham Mew of Unit C-20-5, Block C, 20th Floor, Megan Avenue II, No. 12, Jalan Yap Kwan Seng, 50450 Kuala Lumpur as their liquidators for the purpose of the members’ voluntary winding-up.

Other than the liquidation expenses, there are no material losses or effects on the net assets per share and earnings per share of Sunway Group arising from the abovementioned liquidation.
