- ISSUANCE OF ISLAMIC MEDIUM TERM NOTES PURSUANT TO THE ISLAMIC MEDIUM TERM NOTE PROGRAMME OF UP TO RM10.0 BILLION IN NOMINAL VALUE BY SUNWAY TREASURY SUKUK SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF SUNWAY TREASURY SDN BHD, WHICH IN TURN IS A WHOLLY-OWNED SUBSIDIARY OF SUNWAY

1. INTRODUCTION 

The Board of Directors of Sunway wishes to announce that Sunway Treasury Sukuk Sdn Bhd (“STSSB” or the “Issuer”), a wholly-owned subsidiary of Sunway Treasury Sdn Bhd, which in turn is a wholly-owned subsidiary of Sunway, has established an Islamic Medium Term Note Programme of RM10.0 billion in nominal value (“Sukuk Programme”) and made its first issuance of Islamic Medium Term Notes (“IMTNs”) of RM10.0 million on 17 July 2017.

STSSB had on 9 May 2017, lodged with the Securities Commission Malaysia, the required information and relevant documents relating to the Sukuk Programme pursuant to the prevailing Guidelines on Unlisted Capital Market Products Under the Lodge and Launch Framework.

Kenanga Investment Bank Berhad is the Sole Principal Adviser, and together with HSBC Amanah Malaysia Berhad, the Joint Lead Arrangers and Joint Lead Managers for the Sukuk Programme.

2. DETAILS OF THE SUKUK PROGRAMME

The Sukuk Programme shall have a tenure of up to 100 years, which allows STSSB to issue different tranches of IMTNs from time to time that may be unsecured or secured with different pools of assets/securities during the tenure of the Sukuk Programme. 

The IMTNs to be issued under the Sukuk Programme are unrated and can be issued under the Shariah principle of Wakalah Bi Al-Istithmar or Mudharabah (Profit Sharing). The IMTNs shall be transferable and tradable after issuance.

3.   UTILISATION OF THE PROCEEDS

The proceeds from the Sukuk Programme shall be utilised amongst others, to finance the investment activities, working capital requirements and/or general corporate purposes of the Issuer and/or Sunway and/or its subsidiaries.
