(Unless otherwise defined, the abbreviations and definitions used throughout this announcement are the same as those previously defined in the earlier announcements).

We refer to the announcements dated 14 June 2017 and 11 July 2017 in relation to the Proposals.

On behalf of the Board, Kenanga IB is pleased to announce that Bursa Securities had, vide its letter dated 24 July 2017 (“Approval Letter”), resolved to approve the following:

(a) Listing of up to 2,804,471,128 Bonus Shares to be issued pursuant to the Proposed Bonus Issue of Shares;

(b) Admission to the Official List and the listing and quotation of up to 631,006,003 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and

(c) Listing of up to 631,006,003 new Sunway Shares to be issued pursuant to the exercise of the Warrants.

The approval of Bursa Securities for the Proposals is subject to the following conditions:

(i) Sunway and Kenanga IB must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

(ii) Sunway and Kenanga IB to inform Bursa Securities upon the completion of the Proposals;

(iii) Sunway to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposals are completed;

(iv) Sunway and Kenanga IB are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a) and (b) and 6.35(4) of the Listing Requirements;

(v) Sunway to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders in general meeting approving the Proposals;

(vi) Sunway is required to furnish to Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable; and

(vii) To incorporate Bursa Securities’ comments in respect of the draft circular.
