The Board of Directors of Sunway ("Board") is pleased to declare a second interim single tier cash dividend of 4.5 sen per ordinary share in Sunway ("Sunway Share") in respect of the financial year ended 31 December 2019 ("Second Interim Dividend").

The Board has resolved that the dividend reinvestment scheme ("DRS"), which was approved by the shareholders of Sunway, will apply to the entire portion of the Second Interim Dividend.

The issue price of the new Sunway Shares to be issued pursuant to the DRS will be determined on a price fixing date (“Price Fixing Date”) based on the adjusted five (5)-market day volume weighted average market price (“VWAMP”) of the Sunway Shares immediately preceding the Price Fixing Date, with a discount of not more than 10% to the adjusted VWAMP of Sunway Shares. The said VWAMP shall be adjusted ex-dividend before applying the aforementioned discount in fixing the issue price (“Issue Price”). The announcements on the Issue Price, books closure date and payment date will be made at a later date.

Under the DRS, shareholders will have the following options:-

(a) To elect to participate in the reinvestment option by reinvesting the entire electable portion in new Sunway Shares at the Issue Price;

(b) To elect to participate in the reinvestment option by reinvesting part of the electable portion in new Sunway Shares at the Issue Price and receive the remaining portion in cash; or

(c) To elect not to participate in the reinvestment option and thereby receive the entire Second Interim Dividend entitlement in cash.

Any amount of dividend payment that is insufficient for issuance of one (1) board lot will be received in cash by the shareholders of the Company.

The Company will be submitting an application to Bursa Malaysia Securities Berhad (“Bursa Securities”) for the listing of and quotation for the new Sunway Shares on the Main Market of Bursa Securities pursuant to the DRS.
