Unless otherwise defined, the abbreviations and definitions used in the announcements dated 27 May 2020, 6 July 2020 and 9 July 2020 ("Announcements") shall apply herein.

We refer to the Announcements in relation to the Proposals.

On behalf of the Board, RHB Investment Bank wishes to announce that Bursa Securities has, vide its letter dated 7 August 2020, approved the following:

(i) admission of up to 1,112,777,962 ICPS to the Official List of Bursa Securities;

(ii) listing and quotation of the following on the Main Market of Bursa Securities:

(a) up to 1,112,777,962 ICPS;

(b) up to 1,390,972,453 new Shares to be issued pursuant to the conversion of the ICPS;

(c) up to 67,495,505 additional Warrants to be issued pursuant to the adjustment arising from the Proposed Rights Issue of ICPS; and

(d) up to 67,495,505 new Shares to be issued pursuant to the exercise of the additional Warrants.

The approval by Bursa Securities for the Proposals is subject to, amongst others, the following conditions:

(i) Sunway and RHB Investment Bank must fully comply with the relevant provisions under the Main Market Listing Requirements of Bursa Securities pertaining to the implementation of the Proposed Rights Issue of ICPS;

(ii) Sunway and RHB Investment Bank to inform Bursa Securities upon completion of the Proposed Rights Issue of ICPS;

(iii) Sunway and RHB Investment Bank to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of ICPS is completed; and

(iv) Sunway to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the conversion of ICPS as at the end of each quarter together with a detailed computation of the listing fees payable.
