II. PROPOSED PRIVATE PLACEMENT TO RAISE GROSS PROCEEDS OF UP TO RM710.0 MILLION AT THE ISSUE PRICE TO BE DETERMINED LATER BY WAY OF BOOKBUILDING; AND

III. PROPOSED ESTABLISHMENT OF A DISTRIBUTION REINVESTMENT SCHEME

Unless otherwise defined, the abbreviations and definitions used in the announcements dated 29 June 2020, 15 July 2020, 7 August 2020, 21 August 2020 and 28 August 2020 ("Announcements") shall apply herein.

 

We refer to the Announcements.

 

On behalf of the Board, RHB Investment Bank is pleased to announce that Bursa Securities had, vide its letter dated 11 September 2020, approved the listing and quotation of up to 589,015,600 new units to be issued pursuant to the Proposed Private Placement subject to the conditions that include the following:

 

1. Sunway REIT and RHB Investment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

 

2. Sunway REIT and RHB Investment Bank to inform Bursa Securities upon the completion of the Proposed Private Placement;

 

3. Sunway REIT to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed;

 

4. Sunway REIT/ RHB Investment Bank to furnish Bursa Securities with a certified true copy of the resolutions passed by Unitholders in approving the Proposed Private Placement, proposed specific allotment to Sunway REIT Holdings Sdn. Bhd. and proposed specific allotment to Employees Provident Fund Board and/or person connected to them.
