BURSA ANNOUNCEMENTS

Taliworks Corporation Berhad wishes to announce that Taliworks Renewables Sdn Bhd (“TRSB”) has on 30 November 2020 entered into a conditional share sale and purchase agreement ("SPA") with EM Holdings 1, LLC (“EMH1”), EM Holdings 2, LLC (“EMH2”), EM Holdings 3, LLC (“EMH3”) and Terraform Global Palmares Holding B.V. (“TGPH”)  (collectively, referred to as "Sellers") and TerraForm Global Operating LP (“TerraForm Global”) (referred to as "Sellers' warrantor") in respect of the proposed acquisition of the entire equity interest in Sunedison Solar Holdings 1 Pte Ltd (“SE1”), Sunedison Solar Holdings 2 Pte Ltd (“SE2”), Sunedison Solar Holdings 3 Pte Ltd (“SE3”) and Terraform Global Operating (Malaysia) Sdn Bhd (“TGOM”) by TRSB, from EMH1, EMH2, EMH3 and TGPH respectively, all of which are indirect wholly-owned subsidiaries of TerraForm Global (“Proposed Acquisition”), following a competitive sale process carried out by TerraForm Global.
